SALES POLICY

We reserve the right to cancel or modify any and all agreements, undertakings, or contracts in the event of strikes, fires, accidents or other causes beyond our control. This is only an offer to sell, and we reserve the right to decline any and all orders. It is the general policy of ROTHENBERGER USA, INC. to sell only through a limited number of selected authorized distributors; however we reserve the right to sell or lease directly to major customers including but not limited to, government agencies and OEM accounts. These terms supersede all previous Terms and Conditions, and are subject to change without notice.

TERMS OF SHIPMENT

  • F.O.B. from ROTHENBERGER USA, INC. shipping point
  • Freight is prepaid (RO-USA choice of carrier) for shipments within the Continental USA on orders at Distributor Net Price of $1000 or more.
  • For customers in Canada, freight is prepaid (RO-USA choice of carrier) for shipments to Canada on orders at Distributor Net Price of $1500 or more. Customer is responsible for all duties, tariffs, and tax costs.
  • For customers outside of the continental USA and Canada, customer is responsible for all shipping, duties, tariffs, and tax costs on shipments outside of the continental USA
  • Freight is not prepaid for air shipments or drop shipments
  • Orders that do not qualify for prepaid freight will incur a charge of published shipping rates. Freight charges can be avoided by providing a collect freight or parcel account number with the desire freight carrier of the distribution.

MINIMUM ORDER VALUE

All orders with a value of less than $300 USD will be subject to a minimum value surcharge of $20 USD.

STANDARD PACKING

Standard packs will not be broken under any circumstances. These items are designated in the price list. There is no packaging or boxing according to our standard specifications. Special or export package quotations are available upon request. We reserve the right to round up to the next minimum order multiple.

SPECIFICATIONS

All products are manufactured in according with the ROTHENBERGER USA, INC. standard manufacturing specifications, as outlined in the Quality Manual, various product instruction manuals, or latest catalog.

CHOICE OF FORUM

The rights and obligations of Distributor shall be governed by the laws of the State of Illinois without giving effect to principles of conflicts of law. Any lawsuit between Distributor and ROTHENBERGER USA, INC. shall be filed exclusively in a state or federal court wither located in or having jurisdiction over Winnebago County, Illinois.

TERMS OF PAYMENT

Payment terms are Net 30 days. Orders are accepted on these terms. Invoices bear the date on which shipment is made and terms are based on date of invoice, not receipt of product. All invoices become delinquent after 30 days, at which time ROTHENBERGER USA, INC. reserves the right to withhold future shipments. A service charge of 1.5% per month, corresponding to an annual rate of 18%, may be added to overdue accounts.

PRICES

Prices are per piece, regardless of standard pack quantity. Prices are subject to acceptance at the factory. We reserve the right to invoice at prices in effect at the time of shipment. In addition, we reserve the right to substitute products of equal or greater value without notice.

COLLECTION COSTS

In the event it is necessary to place any contract based on these terms and conditions in the hands of an attorney for collection, Distributor shall pay ROTHENBERGER USA, INC.’s reasonable costs of collection of money due and unpaid, including reasonable attorney’s fees.

CANCELLATION

Cancellation of an order, or part of an order, will be accepted only with our prior consent. SPECIAL ORDER items will be so noted at the time of order and cannot be cancelled or returned under any circumstances.

TAX

Product prices do not include sales or other taxes, Federal, State, or otherwise. Any drop shipments into California are subject to California sales tax, unless a California Resale Certificate is provided.

RETURNED GOODS POLICY

Written permission and return goods number must be obtained from Customer Service at 1-800-545-7698 or CustomerService-US@Rothenberger.com before the return of any merchandise. The return authorization number must be clearly visible on the return shipping label. No collect shipments will be accepted; the distributor pays return freight charges including brokerage and duties where applicable. Return authorizations are effective for 30 days from issuance. Credit will be issued for any material received and inspected during this period, and the return is closed upon completion. Any future returns will require a new return authorization. All return credits are subject to inspection and ROTHENBERGER USA approval prior to credit issuance. The credit amount will be based on the actual price paid. No returns will be accepted or processed during the month of December. Any product received which does not meet the policy requirements will be returned to the distributor freight collect. Product may be returned to ROTHENBERGER USA for the following reasons, and under the below conditions.

  • Any return authorizations requested and approved within 60 days of invoice will not have a restock fee.
  • Any return authorizations requested and approved after 60 days of invoice will incur a 15% restock fee.
  • All return authorization requests must occur within 12 months of invoice without exception.
  • No returns are allowed during the month of December.
  • All material must be new and unused, of current design, and in resalable condition.
  • MAPP PRO, Propane, and oil products will not be accepted.
  • Product returned in excess of the items and quantities authorized will be returned freight collect. Product with standard pack quantities will not be accepted in quantities other than the standard pack

ORDERING ERRORS

  • Distributor ordering errors may be returned freight prepaid within 60 days of invoice date.
  • Order entry errors may be returned freight prepaid within 60 days of invoice date.
  • Customer must report short shipments within 14 days of receiving the order.
  • Customer Service must verify the shipping weights with carrier.

PRODUCT DEFECT

  • Product containing manufacturing defect may be returned for credit, repair or replacement, but must be reported within 14 days of delivery.
  • Detailed description of the faulty product must be provided at the time of the return request.
  • Customer Service may require additional description and/or photo or documentation as needed prior to return authorization approval.
  • Defective product returned for credit, repair or replace at no charge are subject to approval of the ROTHENBERGER USA warranty. See the Terms & Conditions for detail.
